  • Providing peace of mind and confidence in your site acquisition decisions, knowing that you have thoroughly assessed and managed potential environmental risks.

Lucion’s Environmental Transaction Consultants play a crucial role in supporting clients throughout the site acquisition transaction process. Our team:

  • Conducts thorough environmental due diligence assessments, including Phase I and Phase II ESAs, to identify potential risks and liabilities.
  • Provides clear and concise reports outlining the findings, potential costs, and recommendations for further action.
  • Develops risk management and remediation strategies tailored to the client’s specific needs and goals.
  • Works closely with legal and financial advisors to provide the environmental data and insights needed to support the transaction process.
  • Assists in negotiating favourable terms based on the identified environmental risks and liabilities.
  • Offers ongoing guidance and support to ensure a successful acquisition and post-acquisition integration.

Environmental due diligence provides valuable information about the property’s environmental condition and potential liabilities, which can be used to negotiate favourable terms in the acquisition process. For example:

  • If significant environmental issues are identified, the buyer may negotiate a lower purchase price to account for the estimated remediation costs.
  • The buyer may seek indemnification from the seller for identified environmental liabilities, protecting them from future costs and legal responsibilities.
  • Funds may be set aside in escrow to cover potential environmental remediation costs, ensuring that the buyer is not solely responsible for these expenses.
  • The transaction agreement may include contingency clauses that allow the buyer to terminate the deal or renegotiate terms if significant environmental issues are discovered during due diligence.

During site acquisition due diligence, various environmental risks and liabilities can be identified, including:

  • Soil and groundwater contamination from past or current industrial activities, spills, or leaks
  • Presence of hazardous building materials, such as asbestos, lead-based paint, or PCBs
  • Non-compliance with environmental regulations, permits, or industry standards
  • Potential cleanup costs and legal liabilities associated with contamination
  • Environmental liens or encumbrances on the property
  • Potential impacts on future site development or redevelopment plans
  • Risks related to neighbouring properties or regional environmental issues

A Phase I Environmental Site Assessment (ESA) is a non-invasive study that involves a review of historical records, site reconnaissance, interviews, and regulatory database searches to identify potential environmental concerns or recognised environmental conditions (RECs). If the Phase I ESA identifies potential contamination issues, a Phase II ESA may be recommended. Phase II involves invasive sampling and analysis of soil, groundwater, or building materials to confirm the presence, nature, and extent of contamination. Phase II ESAs provide more definitive data on the environmental condition of the property.

Environmental due diligence is essential in site acquisition transactions to identify and assess potential environmental risks and liabilities associated with the property. It helps buyers make informed decisions by understanding the environmental condition of the property, potential contamination issues, regulatory compliance status, and estimated costs for remediation or mitigation. By conducting thorough due diligence, buyers can protect themselves from inheriting unexpected environmental liabilities and negotiate favourable terms in the transaction.
